1. Overview of the Service

The Service offered by ZoogShield enables You to establish a connection to the Internet through your existing internet service provider, routed via our secure, encrypted infrastructure.

2. Account Registration

To utilize the Service, You are required to fill out and submit a complete registration form. This form can be found at https://zoogshield.com/ (the "Registration Form") or via the account creation interface within ZoogShield applications. During registration, You will only need to supply your email address and choose a password, which are used solely for managing your account.

3. Details of Services

(a) Service Description

ZoogShield provides registered users with secure Internet access by means of an encrypted tunnel that terminates at a ZoogShield secure gateway location. This can be used from any compatible Internet-connected device. The Service is offered through several distinct pricing plans.

(b) Pricing and Fees

The costs associated with our various VPN subscription plans are detailed on the ZoogShield website. Your chosen plan remains active until its expiration date. It will then be terminated unless You actively renew it through your account or if your subscription is set to recur, in which case it terminates upon cancellation. You commit to paying the fees for your selected plan (including any relevant taxes) according to the rates effective at the moment of purchase.

All payments and charges fall under our Refund Policy. ZoogShield maintains the right to adjust plan prices occasionally, either through promotional offers or due to inflationary factors. These adjustments affect only new subscriptions and do not alter the pricing for existing recurring subscriptions.

(c) Trials and Promotional Offers

ZoogShield has the sole discretion to end or alter any trial periods and special promotional deals. The Free Trial offer for individual ZoogShield accounts allows new, registered users a single, one-time-per-person trial of the service. Any efforts to misuse the free trial (e.g., by creating multiple accounts for one individual) can lead to the cancellation of the trial. Free Trial conditions can differ based on the specific promotion. Upon completion of the trial, You must subscribe to a paid plan to maintain service access. If a Premium subscription isn't renewed, your account will automatically switch back to the free plan. All expired Free Trial accounts will lose access to the Service.

Our Trial version, available on the Google Play Store and Apple App Store, lets you test the Premium features. This Trial provides full functionality, similar to a paid subscription. Charges will apply automatically after the trial period ends unless You cancel beforehand. It is solely your responsibility to cancel the trial if you do not wish to be charged.

Trials obtained via iOS apps through Apple's system are strictly one-time only. As per Apple's guidelines, any subsequent attempt to start a trial will lead to immediate billing for the offer that follows the initial trial.

4. User Responsibilities & Intellectual Property

(a) Personal Use Only; No Commercial Resale

Your license to use the Service is strictly personal. Whether You are an individual or a business entity, You pledge not to resell access to the Service, its software, or any materials/information acquired through it, unless You have explicit written permission from ZoogShield.

(b) User Conduct

You bear full responsibility for all data transmitted through your use of the Service. Your activity must comply with all relevant local, state, national, and international laws and regulations.

You must: (1) Adhere to all applicable laws and regulations of the United States and the United Kingdom concerning the Service; (2) Refrain from using the Service for illicit purposes; (3) Avoid interfering with or disrupting networks linked to the Service; (4) Not use the Service to violate any third party's intellectual property rights (copyright, patent, trademark, trade secret) or rights of publicity/privacy; (5) Not send any material via the Service that is illegal, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable, including spam in emails and social media; (6) Not conduct P2P file-sharing, leeching, or piracy on non-designated VPN servers (P2P is allowed only on servers specified on our VPN network page); (7) Not attempt unauthorized access to other computer systems or interfere with other users' enjoyment of the Service. (c) Intellectual Property Rights

Subject to your authorized use, ZoogShield provides You a restricted license to use its software exclusively for accessing the Service. You recognize that this software belongs to ZoogShield and is likely protected by intellectual property laws (copyrights, trademarks, patents, etc.). Therefore, You may only use this software as explicitly permitted by these Terms and the Service. You are forbidden from copying, reproducing, distributing, or making derivative versions of the software without ZoogShield's express consent. Additionally, You must not reverse engineer, decompile, change, alter, take apart, or try to uncover the source code of the software. ZoogShield retains all rights.

5. Affiliates & Resellers

(a) Anti-Spam Policy

In addition to the general conduct rules, Affiliates and Resellers are accountable for all emails and social media content they distribute in their promotional capacity. ZoogShield has a zero-tolerance policy for spam, regardless of the platform (email, social media). We never endorse or permit spam.

(b) Ethical Marketing Practices

We require our affiliates and resellers to employ ethically sound marketing materials (keywords, ad copy, descriptions, web designs). This means avoiding any deceptive content or infringing upon the trademarks, copyrights, or intellectual property of others. Bidding on search engines using the names of represented companies is forbidden.

(c) Full Disclosure Mandate

ZoogShield supports full disclosure requirements, such as those outlined by the Federal Trade Commission (FTC) 16 CFR Part 255 (or equivalent local laws). This mandates that any platform (directory, review site, blog, etc.) providing endorsements or reviews must clearly disclose any material connection (financial or otherwise) with the advertiser.

(d) Affiliate and Reseller Conduct

As an Affiliate, You are expected to use fair business practices to attract new customers and earn commissions. You cannot earn commissions by using your own affiliate link for your personal purchases. You can only refer others, not yourself. We aim to foster trustworthy partnerships beneficial to You, ZoogShield, and the community. We strongly condemn any attempts to misuse our system, such as using your link for personal gain or employing tools that simulate real customer behavior or payments.

Any affiliate account found violating these terms will be suspended. You will have 30 days to correct the issues. Failure to comply within this period will lead to the permanent termination of the affiliate account.

If we suspect a violation of these Terms, your account will be terminated unless You provide "Significant Evidence." We carefully review all submitted evidence based on logic and common sense. "Significant Evidence" includes mentions of our site on your platforms, proof of promotions or ad campaigns, data from MMPs, Google Analytics, etc. We then conduct an internal investigation, comparing your evidence with our tracking tools. If we deem the evidence fabricated, suspicious, or inauthentic, we reserve the right to terminate your account permanently.

By accepting these Terms, You agree that providing Significant Evidence upon request is the only way to retain your affiliate account if a violation is suspected. If You fail to provide evidence, or if it's found to be inauthentic, your account will be terminated without possibility of recovery.

(e) PPC Campaign Guidelines

Affiliates and Resellers may run Pay-Per-Click (PPC) campaigns to promote our VPN service, provided they adhere to these Terms. Non-compliant campaigns can lead to account termination.

PPC Restrictions: Without prior written consent from ZoogShield, You must follow these rules:

• You cannot bid on our "Restricted Terms" (defined below), including variants and misspellings, in search or content campaigns on platforms like Google, Bing, Facebook, etc.
• "Restricted Terms" include: ZoogShield, ZoogShield VPN, ZoogShield.com, www.ZoogShield.com, ZoogShield coupon, ZoogShield code, ZoogShield discount, ZoogShield promo code, ZoogShield sale, ZoogShield promo, ZoogShield sales, ZoogShield deals. This applies to all capitalizations.
• You cannot use our Restricted Terms in conjunction with any other keywords.
• You cannot outbid ZoogShield (positions 1-5) for any search term in auction-based PPC programs.

6. Service Compliance and Prohibited Uses

To maintain the quality of our Service, prevent abuse, and ensure a safe environment, we enforce rules applicable to all users, regardless of their plan. These rules ensure everyone can benefit from open internet access without causing disruption. We reserve the right to cancel your access if You breach these rules or for any other reason determined solely by us.

You explicitly agree not to:

• Use our Service for spamming, port scanning, running open proxies/relays, or sending unsolicited bulk emails (even via other servers).
• Launch attacks (like botnets or hacking) against other computers or networks via our Service.
• Transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or legally objectionable.
• Harm, threaten, stalk, or harass any individual or entity using our Service.
• Forge headers or manipulate identifiers to hide the origin of transmitted content.
• Distribute software viruses or any code designed to damage software, hardware, or networks.
• Violate any applicable local, state, federal, or international laws or regulations using our Service.
• Promote or provide instructional information for illegal activities.
• Infringe upon our or others' intellectual property rights.
• Encourage or help others to perform unlawful acts via our Service.
• Falsely report legitimate messages forwarded by our Service as spam.
• Use our Service to forward emails to servers that have grey-listed our mail servers.
• Collect or monitor the personal data of others via our Service.
• Engage in spamming, phishing, harming, pretexting, or automated data scraping/crawling.
• Use our Service for any obscene or unethical purposes.
• Interfere with or try to bypass the Service's security measures.

7. Service Maintenance and Upgrades

You acknowledge that ZoogShield may update the Service periodically but has no obligation to inform You or provide these updates. This agreement does not give You any right or license to support, maintenance, changes, improvements, or enhancements for the Service.

8. Disclaimer of Warranties

You explicitly accept that using the Service is at your own risk. The Service is offered "as is." ZoogShield fully disclaims all warranties, both express and implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ZoogShield does not guarantee that the Service will meet your needs, be uninterrupted, timely, or error-free. We also make no warranty about the results from using the Service, the accuracy of information obtained, or that software defects will be fixed. You understand and agree that any material/data downloaded via the Service is at your own risk, and You are solely responsible for any damage to your computer or data loss resulting from it. No advice or information, oral or written, from ZoogShield creates any warranty not explicitly stated here.

9. Limitation of Liability

ZoogShield shall not be liable for any incidental, indirect, consequential, or special damages arising from the use or inability to use the Service. This includes damages for lost profits, even if ZoogShield was aware of the possibility. ZoogShield's total liability to You or any third party is strictly limited to $1.00 (One U.S. Dollar).

10. Indemnity

You agree to indemnify, defend, and hold ZoogShield harmless, at your own expense, from any loss, cost, damages, liability, or expense that arises from or relates to: (a) a third-party claim that content You submitted infringes their rights; (b) any fraud, manipulation, or breach of these Terms by You; or (c) any third-party claim against ZoogShield resulting from a user dispute over contracts or transactions related to the Service.
